編號: ___________________ AGREEMENT OF BOT PROJECT 甲 方：____________________ 乙 方：____________________ 簽訂日期：____年____月____日 　　ThisAgreementismadeandenteredintobyandbetweenthegovernmentofhereinaftercalled’B’representedbyhereinaftercalled’A’andCorporation,acompanydulyorganizedandexistingunderthelawsofthePeople’sRepublicofChinawithitsprincipalofficeathereinaftercalled’C’ 　　Whereas,AandCconcludedtheMemorandumConcerningProjectontheandChadbeengivenExclusiveRightfromBtocarryoutinvestigationandimplementProjecthereinaftercalled’theProject’bywayofjointfinancingbetweenCandBsocalledBOT 　　Whereas,theloanagreement,guaranteeagreement,letterofguarantee,etcshallconstituteintegralcomponentsofthisAgreementTheProject’sinstalledcapacityis 　　Nowtherefore,thepartiesherebyagreeasfollows: 　　1DefinitionandInterpretation 　　’Project’meanstheplanning,feasibilitystudy,designandengineering,construction,equipping,completion,testing,commissioningandoperationoftheinfrastructureproject 　　’ProjectCost’meansthecostspecifiedinClause3 　　’OperationPeriod’meanstheperiodspecifiedinClause101fromthestartingdateofcommercialoperationoftheinfrastructureproject 　　’CompletionDate’meansthedayuponwhichCcertifiesthattheinfrastructureprojecthassuccessfullycompleteditstestingandcanstartOperationPeriod 　　’ForceMajeure’shallhavethemeaningspecifiedinClause16 　　’ProjectScope’meansthescopeofsupplyandservicesofCinconnectionwiththeexecutionoftheProjectasdescribedinAnnex2 　　’Site’meansthesitefortheinfrastructureprojectincluding,specialroads,andotherareasforconstructionasspecifiedin 　　Annex2 　　’TransferDate’meansthedayfollowingthelastdayoftheOperationPeriod 　　’NewCompany’meanstheCompanytobeestablishedbetweenCandentityasspecifiedinClause5 　　’InvestmentAgreement’meanstheAgreementonMutualEncouragementandProtectionofInvestmentbetweentheGovernmentofthe 　　People’s 　　RepublicofChinaandtheGovernmentofthe 　　’ExclusiveRight’meansthespecialpowergrantedtoCorNewCompanyintheMemorandum,Agreementanditsannex 　　’Day’meansthesolarcalendarday 　　2TheProject 　　21TheProjectshallbenamedas’’ 　　22TheinfrastructureprojectisintendedtobelocatedatTheexactlocationoftheinfrastructureprojectmaybeadjustedatthestageofdetaileddesigninconsiderationofthesitecondition 　　23TheProjectshallbeimplementedonBuilding,OperationandTransferBasis 　　24TheProjectshallbecomposedof,,,thedetailsofwhichshallbeasattachedAnnex2-ScopeoftheProject 　　25ThefinalfeasibilitystudyreportanddetaileddesignafteracceptanceofBandCshallformbasisforthedevelopmentandcompletionoftheProject 　　3TheProjectCost 　　31Theprojectcostis$,interestoftheconstructionperiodis$,thetotalprojectcostis$,andthedetailsofwhichareshowninAnnex3-ProjectCost 　　32ThetotalprojectcostshallcomprisebutnotlimitedtothefollowingcostsandthedetailsoftheprojectcostshallbeasattachedAnnex3-ProjectCost: 　　1Costforfeasibilitystudy,designandengineeringandotherconsultingservices; 　　2Costforconstructionandinstallation; 　　3Costforpurchasingequipmentandmaterials; 　　4Costforadministrationincludingoverseasexpenses; 　　5Overheadandmiscellaneousexpenses; 　　6Contingencies; 　　7Interestduringtheconstructionperiodperannumplusbankcommission; 　　8Premiumforconstructioninsuranceandexportcreditinsurance 　　33TheProjectCostshallbebasedonthefeasibilitystudyreportandincaseofasubstantialvariationininvestmentarisingfromgeologicreasons,theadditionalparttotheProjectCostshallbeapprovedbyBAnadditionalinvestmentagreementorcontractshouldbeconcludedbetweenBandC 　　4ResponsibilitiesforProjectExecution 　　41CshallberesponsibleforthefollowingprovidedthatifandafterNewCompanyisestablished,responsibilitiesshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompany: 　　1thedesignandengineering,procurement,constructionandcommissioningoftheProject; 　　2allcostsinconnectionwiththebuildingoftheinfrastructureprojectandthearrangementofallnecessaryfunding; 　　3operationoftheinfrastructureproject; 　　4transferoftheinfrastructureprojecttoBontheTransferDate; 　　42Bshallberesponsiblefor: 　　1thearrangementof:theprovisionofallnecessarydevelopmentapprovals,permits,consents,siteleases,accessandotherrightsforCorNewCompanytogetherwiththefulfillmentofessentialrequirementssuchascompanyregistration,importlicenseandexemptionofcustomsdutiesandthelike;theprovisionofallnecessaryordesirableaidsforCtoobtaintheloan;obtainingofallregulatory,statutoryandotherconsents,approvals,authorizations,taxconcessionsandinvestmentincentivesasdescribedhereinafterwhicharenecessaryordesirablefortheimplementationoftheProject;obtainingofallnecessarypermitsandapprovalsfromtherelevantauthoritiesforCorNewCompanytorepatriatecapitalanddividendsinUSDollarsfrom;obtainingofresidentvisas,workpermitsandothernecessaryapprovalsfromtherelevantauthoritiesforCorNewCompany’spersonnel,design,manufacturing,installationandconstructionpersonnelaswellastheirdirectrelativesincludingthetravelin;theprovisionofallnecessaryapprovalsandpermitsrelatingtoextensionoftheinfrastructureprojectandtheProjectfacilitiesinordertoincreaseproductionifCorNewCompanyintendstodoso;theprovisionofallnecessarysecuritymeasuresforconstructionandoperationpersonnelandProjectfacilitiestilltheTransferDate;theprovisionofcommunicationsandtransportfacilitiesoftheProjectconstructionandtheoperationoftheinfrastructureproject; 　　2theassistanceintheoperationoftheinfrastructureproject 　　3providingCand/orNewCompanywithfreeuseoftheSite,includingbutnotlimitedtotheareaofconstructionsite,accessroad,transmissionlinerightofway,andetc 　　4thenegotiationandconclusionofserviceagreementwithGovernmentorothercountries’governmentsjointlywithCornewCompany,thePeople’sInsuranceCompanyofChinarepresentatives,whosepresenceinthenegotiationBshallensure,andwhoseapprovalBShallobtain; 　　5theexportationofpercentofproducedbytheinfrastructureprojecttooranythirdcountry; 　　6theassignmentofitsrepresentativesatSiteandtotheNewCompanytoassistCorNewCompanyandmakenecessarycoordinationbetweenBandCorNewCompany 　　43BensuresthattheOperationPeriodoftheProjectshallbenotlessthanyearsHoweverifIRRInterRateofReturndoesnotreachpercent,bothpartieswilldiscusstheproperextensionoftheOperationPerioduntiltheyearIRRreaches 　　44ConditionsPrecedentBshallberesponsiblefortheprovisionofthefollowingdocumentsforCtomakeavailableanypartofthisAgreementwithinmonthsfromthedateofsigningthisAgreementandsuchdocumentsshallbevalidandeffectivetoNewCompany: 　　1apowerguaranteeissuedbyparliamentacceptabletoCintheformdefinedinAnnex7,whichshallbereturnedtoBontheTransferDate; 　　2warrantytobeissuedandloanagreementtobeconcludedwiththeproposalmadebyBforbearingpercentoftheProjectCost,theBankofastheloaneeandFinanceMinistryastheguarantorandacceptabletotheBankofChinaandthePeople’sInsuranceCompanyofChina,andaletterofcreditorletterofguaranteetobeissuedasrequiredbytheBankofChinaprovidedthatthelengthofmaturityisyearsincludingayearconstructionperiodandloaninterestispercentperannum;Bmaymakeearlierreimbursement; 　　3loanguaranteeandwarrantyforC’ssharingoftheProjectCostincludinginterestoftheconstructionperiodtobeissuedbytheBankofandFinanceMinistryrespectively,acceptabletothePeople’sInsuranceCompanyofChinaandtheLendingBankandvaliduntiltotheTransferDate,providingallnecessaryassistanceinenablingCtoobtaintheloanfrominternationalprimebanks; 　　4thelegalcertificateissuedbyPresidentofSupremeCourtandthelegalcertificateissuedbyProcuratorGeneral,certifyingthatthisAgreementshallbevalidandenforceableunderthelawsofineveryrespectintheformdefinedinAnnex8;thecertificateofapprovalissuedbytheGovernmentof,certifyingthattheProjectislawfulandlegitimate; 　　5Bshallpermittheconstructionmachinery,materialandequipmentnecessaryfortheProjecttobetransportedintoviabysea,and/orbyroadthroughasWellasbyair,ensuringfacilitiesfromthebordercontrolandcustomsauthorities 　　45BwarrantsandundertakesthatBshallnotchangeorpermitotherstochangetheenvironmentoftheSitewhichadverselyaffectstheconstructionoroperationoftheProjectSuchchangeshallinclude,butnotlimitedto, 　　46Buyer’sCreditforB’ssharingoftheProjectCostshallbeprovidedbytheChineseside,paymenttermsofwhichtoCareasfollows: 　　1ofthecreditshallbepaidwithindaysafterthedateoftheconclusionofthisAgreement; 　　2ofthecreditshallbepaidby; 　　3ofthecreditshallbepaidby; 　　47ThepartiesshallprovideeachothersufficientinformationthatenableseachpartytohaveaclearunderstandingoftheprincipalissuesthataffectmattersassociatedwiththeProject 　　48ThepartiesheretoshallmutuallycollaboratewitheachotherinordertoachievetheobjectivesofthisAgreementandtheperformancebyeachpartyoftheirrespectiveobligations 　　5NewCompany 　　51ThepartiesagreetoestablishaNewCompanyatthetimewhenthemembersofNewCompanyarereadytoinvesttheirportions,butbeforethecompletionoftheProjectandforthispurposeBshallrecommendanddesignateaentitywhichwillbeamemberofNewCompanyChavingpercentofequity,shallbetheleadingcompanyandshallappointchairmanofNewCompanyTheremainingportionofequityshallbesharedbyentity 　　52DesignandConstructionoftheProjectshallbeexecutedbyCAtmonthlyintervalsuntildaysubjecttopostponementincaseofofeachmonth,CshallexecuteastatementofaclaimforprogresspaymentbasedonthepricesfortheconstructionworksdoneintheprecedingmonthtoBandsuchstatementshallbetheconclusiveevidenceprovingfairnessofsuchclaimexceptmanifestcalculationerror 　　53BshallmakeitsefforttoassistinregisteringNewCompanyatauthorityconcernedinandtoobtainallrequiredpermitsorapprovalsfromtherelatingauthoritiesin 　　54NewCompanyshallbegrantedthesameprivilegedrightsasthosegrantedtoCspecifiedinClause92andC’sobligationsandresponsibilitiesspecifiedinthisAgreementshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompany 　　ThemembersofNewCompanyshalldescribetheprovisionsontheirrightsandresponsibilitiesinthearticlesofincorporationtobemadeonthebasisoftheprovisionsinthisAgreementatthetimeoftheestablishmentofNewCompany 　　55IfmembersofNewCompanydonotreachanagreementaboutanymattersinrelationwiththeProject,theopinionanddecisionofthemajorshareholdershallbefinalandbindingupontheothermembersofNewCompany 　　6Constructionoftheinfrastructureproject 　　61Inpursuanceofitsobligationsinrelationwiththeconstructionoftheinfrastructureprojectunderclause41,CshalldofollowingswithitsfullrightinconsultationwithB: 　　1topreparedetaileddesignandengineeringinconformitywiththenationalstandardsofPRChinainforce; 　　2toappointconsultantsandprofessionaladvisers; 　　3topurchaseequipmentandmaterialsincludingconstructionequipment,thespecificationofwhichandinstallationandtestingshallmeetthenationalstandardsofPRChinainforce; 　　4toappoint,organizeanddirectstaff;manageandsupervisetheProject; 　　5toenterintocontractsforthesupplyofequipmentandmaterialsandservices; 　　6todoallotherthinsnecessaryordesirableforthecompletionoftheinfrastructureprojectinaccordancewiththeengineeringstandards; 　　7toselectsubcontractors; 　　62BshallbeentitledatitsowncosttomonitortheprogressandqualityoftheconstructionandinstallationworkandforthispurposeCshall: 　　1ensurethatBandanyexpertsappointedbyBinconnectionwiththeProjectareaffordedreasonableaccesstotheSiteprovidedthatsuchaccessdoesnotmateriallyinterferewiththeworks; 　　2makeavailablecopiesofplansanddesignsforinspectionattheSite; 　　3aftermonthsofthecompletionoftheProject,supplyBwithsetsofcopiesof’asbuilt’drawingsandotherdocuments 　　63Bshallensurethatallinfrastructurerequirementsandutilitiesnecessaryforthecompletionoftheinfrastructureprojectaremadeavailableinatimelyfashionandaccordinglyshallatitsowncost,interalia: 　　1givefreepossessionoftheSitetoCduringtheconstructionperiod; 　　2ensurethatcustomclearancesystemisavailabletoCtoimportequipmentandmaterialsfortheProjectwithoutanydelayandinterference; 　　3ensurethatCwilluseelectricityforconstructionandcommunicationfacilitiesin,thecostoftheutilizationofwhichshallbeforC’saccountatcurrentrateandshallbeincludedintheProjectCostascostforconstructionorcostforadministrationasstipulatedinClause32;Cshallpaychargetoauthorityeveryothermonthsduringtheconstructionperiod; 　　4ensurethatCwillbuildtransmissionlinefromoranotherstillnearerplacetotheSitefortheuseofinconstruction,whichwillbeusedtotransmitfromtheinfrastructureprojectafterthecompletionoftheProject; 　　5jointlywithCnegotiatewithorothercountries’governmentstotakenecessaryactionsforthetobeconnected,receivedandsuppliedinthosecountriesthroughthepropertransmissionlinewithoutanyinterferenceatthetimeofcompletionoftheProject 　　64BshallensurethatduringconstructionperiodCshallbegrantedtheexemptionof 　　1customsduties,governmenttaxesandlocalleviesrelatingtotheimportationofallkindsofequipmentandmaterialssuchasgeneratingequipment,constructionequipment,vehiclesincludingcars,jeeps,etc,tools,constructionmaterialsandothergoodsfortheconstructionoftheinfrastructureprojectaswellasaccommodationfacilities; 　　2companysalestax,incometaxandsoontobeimposedonCconstructionactivitiesfortheProjectinbytheauthorities 　　7ProjectSchedule 　　71ThepartiesshallworktogetherinordertoendeavourtoachievethetimelycompletionoftheProjectinaccordancewiththeProjectScheduleasAnnex4accordingtowhichtheconstructionperiodshallbeyearsfromthecommencementdateHowever,CmayextendtheconstructionperiodupontheagreementofB 　　72ThecommencementdateshallbethedayaftermonthsfromtheEffectiveDateofthisAgreementprovidedthatCcanstartworkforaccessroad,survey,investigation,clean-upworkaroundthesite,etcbeforethecommencementdateHowever,ifCcommencesconstructionworkinaccordancewiththeprovisionofClause91,thecommencementdateshallbethedatewhereCmateriallystartstheconstructionwork,whichshallbenotifiedtoBbyC 　　73Uponsubstantialcompletionoftheinfrastructureproject,CmayrequesttoNewCompanyoritsrepresentativethattheinfrastructureprojecthassuccessfullycompleteditstestingandthataccordinglytheCompletionDatehasoccurred 　　74IfthereisavariationtotheProjectandsuchvariationaffectstheconstructiontimeoftheinfrastructureproject,thenCshallgettheapprovalofBtoextendtheconstructionperiod,Bshallnotunreasonablywithholditsapproval 　　8Testing 　　81ThepartiesshallmeetandagreeproceduresandaprogrammeforthetestingoftheinfrastructureprojectinaccordancewiththeChinesestandards 　　82CshallgivetoBdays’noticeofitsintentiontocommenceanytesting 　　83Band/oritsexpertsshallbeentitledtobepresentattestingwhichisagreeduponbytheparties 　　84Forthwithuponthecompletionofanytesting,CshallrequesttoNewCompanyoritsrepresentativewhetherornottheinfrastructureprojecthassatisfiedsuchtestandshallprovideBwithacopyofsuchcertificate 　　9EffectiveDateandPrivilegedRight 　　91ThisAgreementshallbecomeinfullforceandeffectasofthedateofsigningthisAgreementprovidedthatChastherightofreservingthefulfillmentofitsobligationsuntilthefulfillmentofthefollowingconditions: 　　1HandingovertheSitetoCfreefromrentalchargeandissuingbyBofthelettertothateffectvalidtilltheexpirationofBOT; 　　2FulfillmentoftheprovisionsofClause44UponexecutionandsigningofthisAgreement,B’srighttoterminatetheExclusiveRightprovidedintheMemorandummentionedinthepreambleofthisAgreementshallLapse 　　92CshallbegivenfollowingprivilegedrightsinwrittendocumentfromtheauthoritiesconcernedbythearrangementofBthereofandthesameprivilegedrightsshallbetransferredtoorenjoyedconcurrentlybyNewCompanyasthecasemaybe,whenitisestablished 　　1ApprovedbytheBankoftheandtheFinanceMinistryfor:therepatriationofC’sinvestmentincluding,butnotlimitedto,theprofitsofsuchinvestmentinUSDollars 　　2TheGovernmentofapprovaloftheemploymentofforeignnationalsinsupervisory,technicalandadvisorypositionsandforthepositionsofchairman,treasurerandgeneralmanagerortheirequivalentuntiltheTransferDate 　　3OthernationalandlocalapprovalsasmaybenecessarytoproceedwiththeProject 　　4Approvaloftaxexemptionasbelowbytheauthoritiesconcernedin: 　　FullexemptionofcustomsdutiesandotherleviesifanythroughoutBOTperiodfortheimportationofequipment,materials,constructionmachineryandothergoodsfortheProject;percentexemptionofprofittax,additionaltax,localtax,andbusinesstaxforyearsstartingfromthefirstprofit-makingyearandpercentprofittaxexemptionforthesubsequentyears 　　5Freeremittanceofinvestmentincluding,butnotlimitedto,theprofitsofsuchinvestmentinUSDollarsand/orreceiptofpaymentsorsalesproceedsinUSDollars,withoutwithholdingtax,remittancetaxoranyothertaxesleviableunderlaws 　　6TheapprovalbytherelevantGovernmentagenciesfortheimmediateimportationintoofallequipmentfortheProject 　　7CshallregisteritssubsidiaryoraffiliatedorassociatedcompaniesinAcertificateofRegistrationissuedbytheBinrelationtotheProject,confirmingthatCincludingitssubsidiaryoraffiliatedorassociatedcompaniesisaregisteredenterpriseundertheLawonForeignInvestmentinthe 　　8FreeremittanceabroadoftheremunerationinUSDollarswithexemptionfromindividualincometax,remittancetaxoranyothertaxesthereon 　　10Operationoftheinfrastructureproject 　　101NewCompanyshallberesponsibleforthemanagement,operation,maintenance,repairandoverhauloftheinfrastructureprojectduringtheOperationPeriod,namelyyearsfromthestartingdateofcommercialoperationoftheinfrastructureprojectandshalluseitsbestendeavourstoensuretheinfrastructureprojectisingoodconditionandcapableofproducinginasafeandstablemannerTheextensionoftheabovementionedOperationPeriodshallbediscussedbybothpartiesifthepercentIRRisnotaccomplishedwithinyears’OperationPeriod 　　102Inordertoundertakenecessaryoverhaul,maintenance,inspectionandrepair,NewCompanyshallperformdowntimeeachyearfromtheCompletionDate 　　103InpursuanceofitsobligationunderClause101,Newcompanyshallhavefullrightto: 　　1enterintocontractsforthesupplyofmaterialandservicesincludingpurchaseofreplacementequipmentandparticipateinnegotiationsonoperationandserviceagreementconclusion; 　　2appoint,organizeanddirectstaff;manageandsupervisetheinfrastructureproject; 　　3establishandmaintainregularinspection,maintenanceandoverhaulprocedures; 　　4doallotherthingsnecessaryordesirablefortheoperationoftheinfrastructureproject; 　　104BandNewCompanyshall,fromtimetotime,meetanddiscussandagreesafetyguidelinesfortheoperationoftheinfrastructureproject 　　105NewCompanyshalloperatetheinfrastructureprojectinaccordancewithallandlocallawsandregulationsinforceatthedateofsigningthisAgreement 　　Ifanychangesornewlegislationsoflawsandregulationswould: 　　1resultintheinfrastructureprojectbeingunabletooperateinnormalconditions; 　　2resultintheinterestofNewCompanybeingmateriallyreduced,prejudicedorotherwiseadverselyaffected; 　　ThenthepartiesshallmeetandendeavourtoagreeonamendmentstothisAgreement 　　106BshallbeentitledtoappointandallocateitsexpertsagenciestomonitortheoperationoftheinfrastructureprojectbyNewCompanyatB’scostandexpenseThemonitoringshallnotinterferetheordinaryoperationoftheinfrastructureprojectbyNewCompany 　　11SupplyofServiceofferedbytheInfrastructureproject 　　111NewCompanyshallsupplytheproducedtoorothercountriesasstipulatedthereinIncasethatthepowerpurchaserisothercountrythan,aserviceagreementshallbeconcluded 　　112IfBintendstodistributepartoftheproducedtolocalmarketondemand,BshallusesuchasroyaltystipulatedinClause124andifBneedsmorethanthatofroyaltyportionitshallbeagreeduponbyNewCompanytothateffectprovidedthat,insuchcase,chargeshallbepaidtoNewCompanyinUSDollarsasstipulatedinClause12 　　12ServiceChargeandIncomeDistribution 　　121InordertoaccomplishthepurposesspecifiedinClauses424,425,634and111,BshallundertakeresponsibilityforthenegotiationwithGovernmentandtheconclusionofserviceagreementBshallprovidesuchinformationanddataasusefulandnecessaryforthenegotiationandappointapersontocooperatewiththerepresentativesfromCorNewCompanyandthePeople’sInsuranceCompanyofChinainchargeofthenegotiation 　　Thepersonsinchargeshalldotheirdutyaccordingtotheproceduresasbelow: 　　1tosubmitbasicconceptandoverallplanoftheProjectwithindaysfromthedateofsingingthisAgreement; 　　2tostartdetailedtechnicalnegotiationanddiscussionontherateofservicechargewithindaysfromthedateofsigningthisAgreement; 　　3toconcluderelevantma
